Corebix General Terms and Conditions ("GTCs")

Effective Date: June 30, 2025

Welcome to Corebix.net. These General Terms and Conditions (“GTCs”) apply to all services, software platforms, and related professional offerings provided by Corebix, LLC (“Corebix”, “we”, “us”, or “our”), regardless of how you (“Customer”, “you”, or “your”) access or purchase them.

By signing an order form, creating an account, or otherwise using any Corebix services, you agree to be bound by these GTCs, which govern your access to and use of our services.


1. Scope and Applicability

These GTCs apply to all agreements and orders entered into between Customer and Corebix, including purchases made online or through written order forms. These GTCs form the foundational contract for all services unless otherwise agreed in writing in a separate master agreement.

If a valid agreement (such as an MSA or SOW) exists between Customer and Corebix and expressly supersedes these GTCs, that agreement shall govern.


2. Modifications to These Terms

We may update or revise these GTCs at any time. Updates will become effective upon posting to www.corebix.net/terms or upon written notice to Customer (including email). Continued use of the services after such modifications indicates acceptance of the revised terms.


3. Use of Services

Customer agrees to use the services only for lawful purposes and in accordance with these GTCs and any applicable service-specific product terms or order forms.

Customer shall not:

Reverse engineer, decompile, or disassemble any part of the Corebix platform;

Use the service to violate any applicable law or regulation;

Interfere with the performance or security of the platform;

Use the service for competitive analysis or to build a competing product.


4. Customer Responsibilities

You are responsible for:

Maintaining confidentiality of your login credentials;

Ensuring that all user activity under your account complies with these GTCs;

Providing accurate and complete information when creating an account or placing an order;

Prompt payment of all fees and applicable taxes.


5. Fees and Payment

Fees are specified in each applicable order form or online checkout. Unless otherwise stated:

All fees are non-refundable;

Payments are due as stated on the invoice;

Late payments may incur interest at 1.5% per month or the highest amount permitted by law.

Corebix reserves the right to suspend services for non-payment.


6. Term and Termination

Each subscription or service will continue for the term specified in the applicable order. Either party may terminate for material breach with 30 days’ written notice if the breach remains uncured.

Upon termination:

Customer’s access to the services will end;

Customer must immediately cease using Corebix’s services and materials;

Any unpaid fees shall become immediately due.


7. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed in connection with the services. Confidentiality obligations survive termination for a period of 3 years (or longer if required by applicable law).


8. Intellectual Property

All Corebix software, documentation, designs, and underlying intellectual property remain the sole property of Corebix. No license or transfer of IP is granted unless explicitly stated in writing.

Customer retains ownership of their own data and content submitted through the services.


9. Warranties and Disclaimers

Corebix provides services “as is” and disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the services will be error-free, secure, or uninterrupted.


10. Limitation of Liability

To the maximum extent permitted by law, Corebix shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability under any claim is limited to the fees paid by the Customer in the 12 months preceding the claim.


11. Indemnification

Customer agrees to indemnify and hold harmless Corebix and its affiliates from any third-party claims arising from:

Customer’s misuse of the services;

Violation of these GTCs;

Infringement of any third-party rights.


12. Governing Law and Jurisdiction

These GTCs shall be governed by the laws of the State of [Insert State, e.g., Delaware], without regard to conflict of law principles. All disputes shall be resolved in the state or federal courts located in [Insert County/City, e.g., Wilmington, Delaware].


13. Export Control

Customer agrees to comply with all U.S. and international export laws that apply to use of the services and agrees not to export or re-export the services in violation of such laws.

Corebix will handle personal data in accordance with its Privacy Policy. Customer agrees that it has obtained all necessary consents to submit personal data to Corebix, and Corebix acts as a data processor where applicable.


15. Entire Agreement

These GTCs, together with any applicable order forms or service terms, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.


16. Additional Terms

Depending on your use of specific services (e.g., AI, APIs, consulting), additional terms may apply. These will be made available through the order form or service-specific documentation.
